These Terms of Service (“Terms”) govern the use of services provided by Clicks Digital LLC, doing business as Contractor Clicks (“we”, “our”, “us”).
By engaging with our services, you agree to these Terms.
1. Who We Are
Clicks Digital LLC, DBA Contractor Clicks, is a limited liability company registered in the State of Wyoming, USA.

2. Services
We provide digital marketing and advertising services, including but not limited to:
Paid advertising campaigns (e.g., Facebook Ads, Google Ads)
Lead generation and appointment setting
Email and SMS marketing
Website design, landing pages, and funnels
CRM and automation setup and management
The specific scope of services will be detailed in your individual proposal, work order, or service agreement.
3. Client Responsibilities
You agree to:
Provide accurate and timely information necessary for service delivery.
Maintain any business licenses, permits, or approvals required by law.
Collaborate with us promptly regarding campaign approvals, creative materials, and feedback.
Ensure that all leads provided are followed up promptly. (Delays in follow-up may impact performance and results.)
4. Fees, Payments, Refunds, and Lead Returns
Fees and payment terms are specified in your service agreement or proposal.
Payments are due according to the agreed billing schedule (e.g., upfront, monthly, or upon invoice).
Late payments may result in suspension or termination of services.
No Refunds: All fees paid to Clicks Digital LLC are non-refundable unless otherwise agreed in writing.
Lead Returns: Leads that do not meet the qualification criteria defined in your Service Agreement may be returned or replaced.
Lead Replacements: Unqualified leads will be replaced at no additional cost if they meet the return criteria.
Qualified Leads: A “qualified lead” is defined by the criteria in your Service Agreement. Leads meeting those standards are not eligible for return or replacement.
5. Performance & Guarantees
We use commercially reasonable efforts to deliver high-quality marketing services.
However, we cannot guarantee specific results such as revenue increases, conversion rates, or sales volumes.
Performance may vary due to factors outside our control, including market conditions and your internal sales processes.
6. Intellectual Property
All creative assets, ad copy, campaigns, and materials produced by us remain our property until all fees are paid in full.
Upon full payment, you are granted a non-exclusive license to use those materials for your business.
Any logos, images, or content you provide remain your property, and you grant us permission to use them solely to perform the contracted services.
7. Confidentiality
We will keep your confidential information secure and use it only for delivering our services.
You agree to treat our methods, pricing, systems, and marketing strategies as confidential and not disclose them to third parties without our consent.
8. Data Protection & Privacy
Both parties agree to comply with applicable U.S. data protection laws, including the California Consumer Privacy Act (CCPA), and, where relevant, the UK GDPR or EU GDPR.

9. Limitation of Liability
We are not liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, revenue, or data.
Our total liability under these Terms is limited to the total amount you paid us in the three (3) months preceding the event giving rise to the claim.
We are not responsible for decisions or actions taken by third-party platforms (e.g., Meta/Facebook, Google) such as ad account suspensions, bans, or restrictions.
10. Termination
Either party may terminate the agreement by providing 30 days’ written notice.
We may terminate services immediately if you breach these Terms, fail to make payments, or engage in unlawful or unethical activity.
Upon termination, all outstanding balances become immediately due.
11. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict-of-law principles.
Any disputes shall be resolved in the courts of Sheridan County, Wyoming (or another appropriate Wyoming jurisdiction).
If you are based outside the United States, you agree that Wyoming law will still apply.
12. Changes to These Terms
We may update or amend these Terms from time to time.
The latest version will always be available on our website and will include a revised “Last Updated” date.
Continued use of our services after any changes indicates acceptance of the updated Terms.
